Kevin Friedmann
 

Kevin Friedmann is a Partner of the firm heading our New York office. Mr. Friedmann specializes in corporate finance and mergers and acquisitions for publicly traded companies. He regularly counsels issuers, investors and broker-dealers in corporate finance transactions, including PIPEs (Private Investment in Public Equities), from term sheet to closing and through the SEC registration process. Mr. Friedmann has extensive experience representing public companies in complex mergers and acquisitions requiring '33 Act registration and compliance with shareholder proxy rules under the Exchange Act.  Mr. Friedmann has also represented numerous private companies going public and raising capital through reverse mergers.  Mr. Friedmann has extensive experience representing private issuers in all types of venture capital financings as well.

In addition to counseling public companies in transactional matters, Mr. Friedmann counsels issuers with respect to their SEC reporting obligations, has expertise in structuring and implementing issuer tender offers under the Williams Act, and has successfully represented listed companies in regaining compliance with applicable listing standards, including preparation of continued listing compliance plans and appearing before the NASDAQ Hearings Panel.

Mr. Friedmann was selected as a 2008 Southern California Rising Star by Los Angeles magazine. Prior to joining Richardson & Patel LLP in 2000, Mr. Friedmann was a corporate associate in the Los Angeles office of Loeb & Loeb LLP.

Mr. Friedmann received his B.A. in History and International Relations, with honors, from The University of Chicago in 1993. Mr. Friedmann received his J.D. from USC Law School in 1998, where he was a staff member of the honors Interdisciplinary Law Journal. During law school, Mr. Friedmann spent a semester working full-time as a judicial extern for the Hon. Terry J. Hatter, Jr., Chief Judge of the United States District Court for the Central District of California.

Mr. Friedmann is admitted to practice law in New York, California and the District of Columbia.
