Addison K. Adams is a partner of Richardson & Patel LLP. He assists our private and public company clients with growth capital finance and merger and acquisition transactions, and is well versed in structuring complex transactions. Mr. Adams also assists our clients with handling their business litigation matters, including contract disputes, fiduciary claims, and commercial litigation.  His expertise includes going public transactions such as initial public offerings (IPO’s), alternative public offerings (APO’s) and reverse takeovers (RTO’s). His expertise includes SEC compliance with Exchange Act and Securities Act regulations, public listing applications, stock trading issues, corporate governance and Sarbanes-Oxley compliance. He has particular experience with PIPEs, reverse mergers, and angel and VC backed private offerings. In addition to the foregoing, Mr. Adams assists clients with general corporate matters including contracts, employment, intellectual property and real estate.  He often serves as outside general counsel managing all aspects of a Company’s legal needs.

Mr. Adams’ practice emphasizes growth companies in the areas of technology, software, Internet and entertainment. Mr. Adams works closely with management as both a lawyer and business advisor, assisting his clients with strategic partnerships and acquisitions.

Mr. Adams has been a licensed California Real Estate Broker since 1992 and has worked with developers, agents, mortgage bankers and principals, including real estate investment partnerships and other entities.

Mr. Adams received his Bachelor of Science degree majoring in Finance from the University of Arizona in 1992. He received his Juris Doctorate from the University of San Diego in May 1996 and was admitted to the California State Bar that same year. Mr. Adams is currently admitted to practice in all State courts throughout the State of California, and in the United States District Courts for the Northern, Central and Southern Districts of California.
